We are looking for a Regional Legal Counsel – LATAM to join our team in Rio, Brazil.

Summary of Responsibilities

  1. Provide advice and guidance to internal business units related to legal and commercial terms.
  2. Draft and negotiate a variety of commercial contracts in support of LATAM operations, including master service agreements, work/purchase orders, vendor agreements, sale agreements, supporting documents in respect of bids and tenders, agency agreements, notices and NDAs with little or no supervision.
  3. Ensure all contracts adhere to applicable standards and corporate legal policies, principles and guidelines, are internally consistent and appropriately address legal and risk considerations, including:
    1. use of appropriate contract templates,
    2. use of appropriate contracting entity with good understanding of applicable tax considerations and other drivers,
    3. appropriate minimization and ringfencing of liabilities, and
    4. identify, communicate, and escalate to legal leadership, any contract issues and material deviations from established contract guidelines.
  4. Provide legal support for employment, IPR, real estate, disputes and case management liaising with outside counsel as necessary.
  5. Coordinate with outside counsel on legal entity management for the region, company secretarial work and in-country governance.
  6. Support compliance processes and provide guidance to the business in specific regulatory risk areas, such as gift requests, engaging agents, sanctions, third party control processes, obtaining licenses and permits and import/export regulations.
  7. Conduct investigations for all local complaints received through the Ethics and Compliance department.
  8. Create and maintain detailed investigation records and documentation.
  9. Work with the business unit to address compliance matters.
  10. Provide assistance for HR and Compliance related investigations.
  11. Provide training and other communication tools to promote an understanding of the ethics and compliance program and the anti-corruption program.
  12. Advise on and monitor projects related to compliance with LGPD and other privacy laws.

Key Qualifications

  • Bachelor’s degree in law, with OAB registration.
  • Experience in-house in the oilfield services sector.
  • Computer proficiency in Microsoft Office Suite.
  • Advanced Portuguese, English and Spanish.

Main Requirements

  • Ability to analyze and provide input on commercial terms and other contractual considerations, drafting and contract negotiations.
  • Have a solid understanding of property/casualty/professional liability insurance and risk management principles.
  • Responsive and detail-oriented with excellent time management skills.
  • Strong negotiation skills with a proven track record of successfully negotiating contracts.
  • Developed analytical, organizational and coordination skills.
  • Effective and timely communication skills ensuring all issues or concerns are addressed appropriately with legal leadership, the relevant departments or business leader.
  • Comfortable and confident in dealing directly with customers and business units internally.
  • Able to apply complex problem-solving abilities to achieve problem and process solutions.
  • Ability to spot, communicate and mitigate issues.
  • Experience in due diligence.
  • Experience in conducting a wide range of investigations that may include fraud, code of conduct violations, anti-corruption matters and HR related matters.
  • Ethics, adaptability, initiative, determination, problem recognition and definition, flexibility, emotional intelligence, positive attitude, teamwork, results-oriented, interpersonal skills, leadership, and analytical ability.
  • Reside in Rio or Macaé.
  • Reports to Global Operations Counsel with dotted line to Compliance VP.
